1. Acceptance of Terms

By accessing or using GHGCalculate (the "Platform"), available at ghgcalculate.com, you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Platform. These Terms form a binding agreement between you and GHGCalculate. GHGCalculate is made for use by Canadian companies.

GHGCalculate may update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

2. Who May Create an Account

You may create an account if you:

  • Are at least 18 years of age, or the age of majority in your jurisdiction;
  • Are acting on behalf of yourself or a business entity you are authorized to represent;
  • Provide accurate, current, and complete registration information; and
  • Have not previously had an account suspended or terminated by GHGCalculate for cause.

By registering, you represent and warrant that the above conditions are met. GHGCalculate reserves the right to refuse registration to anyone at its sole discretion.

3. Nature of the Platform — No Professional Advice

GHGCalculate is a GHG emissions estimation platform. It is designed to help users calculate and organize greenhouse gas (GHG) emission estimates based on the GHG Protocol framework and publicly available emission factors.

Nothing on this Platform constitutes professional, legal, regulatory, financial, scientific, or accounting advice. Results generated by the Platform are estimates based solely on your input about your company's own activities (activity data) and emission factors from publicly available and non-proprietary databases. They are not suitable as a substitute for advice from a qualified environmental consultant, auditor, legal advisor, or other professional.

Emission factors and methodologies used by the Platform are drawn from publicly available sources and may not reflect the most current data, jurisdiction-specific requirements, or the specific circumstances of your operations. You are solely responsible for verifying that outputs meet any applicable regulatory, reporting, or disclosure obligations that your company might face.

Please note that GHG emissions estimates are displayed by Scope 1, Scope 2, and Scope 3, in accordance with the GHG Protocol. These results are generated by aggregating individual calculations, where company activity data is multiplied by publicly available emission factors. As a result, if a user publishes their emissions results, it may be theoretically possible for third parties to reverse-engineer parts of the calculation and infer which company activities were included.

This is an inherent risk in any GHG emissions estimate that relies on activity data and known emission factors.

By using GHGCalculate.com, you acknowledge and accept this risk. You further acknowledge that GHGCalculate.com is not responsible for any inferences, conclusions, or assumptions made by third parties based on emissions results published or otherwise shared by the user.

4. User Responsibilities and Data Accuracy

You are solely responsible for:

  • The accuracy, completeness, and legality of all data you input into the Platform;
  • Ensuring that activity data, quantities, and descriptions reflect your actual operations;
  • Any decisions made based on calculations produced by the Platform;
  • Maintaining the confidentiality of your account credentials and notifying GHGCalculate immediately at contact@ghgcalculate.com if you suspect unauthorized access.

Furthermore, inaccuracies of GHG emissions estimations can arise from various causes, including inaccurate user input of company activity data and inaccurate emission factors.

Inaccurate user activity data: GHGCalculate.com is not responsible for errors in your results that arise from inaccurate, incomplete, or misleading data you have provided. The Platform is also not responsible for any inaccuracies arising from quantifying GHG emissions from activities using emission factors that do not reflect the activity.

Inaccurate emission factors: GHGCalculate allows you to estimate emissions using emission factors from publicly available, non-proprietary databases, but the Platform may not include emission factors that satisfy third party or user expectations or requirements with respect to temporal, geographical, or technological representativeness of your activity data (see GHG Protocol's Corporate Value Chain (Scope 3) Accounting and Reporting Standard, p. 76).

GHGCalculate.com is not responsible for the accuracy of user results, or the results' compliance with third party GHG reporting expectations or requirements, either from legally mandated GHG reporting or private GHG reporting initiatives.

GHGCalculate.com is not responsible for the accuracy of GHG emissions estimations using the 'Own calculations' input fields.

GHGCalculate.com is not responsible for users' successful assurance engagements with third parties (such as external auditors).

5. Ownership of User Data and Platform Content

Your Data: You retain ownership of all data you input into the Platform, including activity descriptions, quantities, and calculation results ("User Data"). By using the Platform, you grant GHGCalculate a limited, non-exclusive licence to store and process your User Data solely for the purpose of providing the Platform's functionality to you.

GHGCalculate does not sell your User Data to third parties. Aggregate, anonymized, and non-identifiable statistical data derived from Platform usage may be used by GHGCalculate for product improvement and research purposes.

Platform Content: All software, code, algorithms, user interface design, methodology documentation, trademarks, and other content created or owned by GHGCalculate (collectively, "Platform Content") remain the exclusive property of GHGCalculate, operated by Jonas Dalgaard Nielsen. You may not copy, reproduce, distribute, reverse-engineer, or create derivative works from Platform Content without prior written consent from GHGCalculate.

6. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Platform to process data on behalf of third parties without their knowledge or consent;
  • Attempt to gain unauthorized access to any part of the Platform or its underlying systems;
  • Upload malicious code, scripts, or content of any kind;
  • Scrape, harvest, or systematically extract data from the Platform;
  • Use the Platform in any way that could damage, disable, overburden, or impair its operation;
  • Misrepresent your identity, organization, or the nature of your operations;
  • Use outputs from the Platform to make misleading public claims about your organization's environmental performance without appropriate professional verification; or
  • Use the Platform for any purpose that violates applicable laws or regulations, including environmental law, securities law, or consumer protection law.

GHGCalculate.com provides users with GHG emissions estimation results presented in the GHG Protocol's Scope 1, 2, and 3 and relies on users' company activity data and emission factors from publicly available and non-proprietary databases. Results do not indicate the environmental, sustainable, or 'green' performance of the company, but only offer an estimate of GHG emissions associated with company activities. Any environmental claims made by a company must be made in compliance with Canada's Competition Act and its environmental claims provisions, as well as any environmental claims regulation applying in the company's location (e.g. province of operation).

7. Account Suspension and Termination

GHGCalculate reserves the right to suspend or permanently terminate your account, with or without notice, if GHGCalculate reasonably believes you have:

  • Violated these Terms;
  • Provided false or misleading registration information;
  • Used the Platform in a manner harmful to GHGCalculate or other users;
  • Failed to pay any applicable fees; or
  • Engaged in any conduct GHGCalculate deems, in its sole discretion, to be inappropriate or unlawful.

You can delete your account at any time by logging into Profile Settings and pressing 'Delete account', or by emailing contact@ghgcalculate.com. Upon deletion, your User Data will be removed from active systems in accordance with the Privacy Policy. You remain responsible for any obligations accrued prior to termination.

8. Disclaimers

Accuracy: Emission factors and calculation methodologies are provided for estimation purposes only. GHGCalculate makes no warranty that results are accurate, complete, or current. Factors are periodically updated but may not reflect real-time changes to regulatory databases or scientific literature.

Availability: GHGCalculate does not guarantee uninterrupted or error-free access to the Platform. Access may be suspended for maintenance, upgrades, or circumstances beyond GHGCalculate's control, without prior notice or liability.

Reliance: You should not rely exclusively on Platform outputs for regulatory submissions, public disclosures, investor reporting, or compliance filings without independent professional verification. GHGCalculate expressly disclaims liability for decisions made on the basis of Platform outputs, including any decisions made to decarbonize or enhance environmental performance.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GHGCALCULATE.COM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF GHGCALCULATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL LIABILITY OF GHGCALCULATE TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Nothing in these Terms limits liability that cannot be excluded under applicable law.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada for the resolution of any dispute arising under these Terms.
